Terms of Service
The short version
- Materia+ helps you find natural and holistic health providers, book with them and see them by video. Providers use it to run their practice.
- Materia+ is a technology platform, not a medical service. Providers are independent and responsible for the care they give.
- In an emergency, call 911 or your local emergency number, or go to the nearest emergency department. Don't use Materia+.
- You must be 18 or older. Parents and guardians can book for their children.
- Be respectful, honest and lawful. Our Acceptable Use & Community Standards apply.
- You pay your provider for visits. Materia+ doesn't add a booking fee.
- Our liability is limited, but nothing here takes away rights that consumer protection law gives you.
- Ontario law applies.
1.About these Terms
By using Materia+, you agree to these Terms.
These Terms of Service ("Terms") are an agreement between you and Homeopathic Healing Inc., an Ontario corporation operating as Materia+ ("Materia+", "we", "us"). They apply whenever you use materiaplus.com or any Materia+ service (the "Platform"), whether or not you have an account.
These documents are part of these Terms:
- for everyone: the Privacy Policy, the Acceptable Use & Community Standards, the Health & Emergency Disclaimer and the Cookie Policy
- for patients: the Telehealth Consent and Booking & Payments
- for providers: the Provider Terms, Credentials, Titles & Badges, the Telehealth & Clinical Responsibility Agreement, the data agreement for their country (Business Associate Agreement, Canadian Privacy & Electronic Service Provider Addendum, or Data Processing Agreement) and, if they write for us, the Contributor Terms
If a provider document conflicts with these Terms, the provider document applies to providers.
If you don't agree to these Terms, please don't use Materia+.
2.What Materia+ is, and isn't
A technology platform. Not a clinic, and not a medical service.
Materia+ provides:
- a directory of natural and holistic health providers
- tools to book visits, pay for them and meet by video
- practice software for providers
- the Read section, where we publish health and wellness articles
Providers on Materia+ practise homeopathy, holistic nutrition, massage therapy, osteopathy, psychotherapy, functional yoga, herbalism and Ayurveda. They are independent professionals running their own practices. They are not our employees, agents or partners, and we don't direct or supervise the care they give.
Materia+ doesn't provide medical care, diagnosis or treatment. The services providers offer are not a replacement for care from your doctor. Each provider is responsible for their own advice and care, for practising within their legal scope, and for holding any licence, registration and insurance they need.
We don't endorse any provider or guarantee the results of any service.
3.Emergencies
Materia+ can't help in an emergency.
Materia+ and its providers don't offer emergency care, urgent triage or crisis services. If you have a medical emergency, are in crisis or are thinking about harming yourself, call 911 or your local emergency number, or go to the nearest emergency department. Don't wait for a booking or a message reply.
4.Who can use Materia+
Adults, with accurate details and a password they keep to themselves.
- Age. You must be 18 or older to create an account.
- Dependents. A parent or legal guardian may add a child or other dependent to their account and book care for them, if they have the legal authority to consent to that care. You are responsible for the bookings and messages you manage for them.
- Caregivers. A patient can give a caregiver access to parts of their account. The caregiver has their own account and must use that access only to help the patient.
- Accurate details. Give true, current information and keep it up to date.
- Your account. Keep your password private, and don't share your account. You're responsible for what happens under your account unless you report unauthorized use to us promptly.
- One account each. Don't open more than one account unless you are replacing one you can no longer use.
5.Using Materia+ responsibly
Treat people and the Platform with respect.
You must follow the Acceptable Use & Community Standards. In particular, you must not:
- harass, threaten, abuse or impersonate anyone
- post false, misleading or unlawful content
- try to get around our security or access accounts or data that aren't yours
- copy, scrape or collect content, provider profiles or user information by automated means, including to train artificial intelligence or build databases
- send spam or use the Platform to advertise without our permission
- use the Platform in a way that breaks the law
6.Booking, payments and cancellations
You pay your provider directly. Their cancellation policy applies.
- Bookings are with your provider. When you book a visit, your agreement for that service is with the provider. Materia+ isn't a party to it.
- Payment. You pay the provider's listed price. Card payments are processed by Square or Stripe, whichever the provider uses, and go to the provider's own account. Materia+ doesn't charge patients a booking fee or take a commission on visits.
- Cancellations and refunds. Each provider sets their own cancellation and refund policy, which you see before you book. Refund requests go to your provider.
- Insurance. You get an invoice and receipt for each visit, which you can use to submit your own insurance claim. Materia+ doesn't submit or process insurance claims.
- Disputes. If you have a problem with a provider's service or charges, contact the provider first. Please also tell us about any conduct that breaks our standards.
Providers pay Materia+ a subscription for the practice software. That is covered by the Provider Terms.
7.Video visits
Encrypted, never recorded, and dependent on your internet connection.
Video visits need a working device, browser and internet connection. Calls can sometimes drop or lag because of things outside our control. If that happens, you and your provider can reconnect or rebook. Materia+ doesn't record visits. Our Telehealth Consent explains what to expect from a video visit and its limits.
8.Your content
You own what you post. You let us show it on Materia+.
You keep ownership of what you add to Materia+, such as profile text, photos and reviews ("your content"). You give us a non-exclusive, worldwide, royalty-free licence to host, store, display, format and publish your content to run and promote the Platform. This licence ends when you delete the content or your account, except for copies we must keep by law or that sit in backups for a short time.
You confirm that you have the rights to everything you post and that it doesn't infringe anyone else's rights or privacy.
This section doesn't apply to clinical records. Those belong to the provider who keeps them and are covered by the Privacy Policy.
9.Our content and articles
Our articles are general information, not advice for you.
The Materia+ name, logo, design, software and our own content belong to Homeopathic Healing Inc. or our licensors. You may view and share them for personal, non-commercial use, but you may not copy, sell or reuse them otherwise without our written permission.
Articles and other content on Materia+, including the Read section, are for general information about health and wellness. They aren't medical advice and aren't tailored to you. Talk to a qualified professional about your own situation.
10.Messages from us
Account messages always. Reminders if you want them. Marketing only if you say yes.
We send messages you need to use your account: account verification, booking confirmations, changes and cancellations, invoices and receipts, security alerts, and notices about these Terms or service disruptions. You can't turn these off while you have an account.
Some messages are optional: appointment reminders, check-in reminders and notices of a new Care Plan. They're on unless you turn them off in your account settings. If you turn them off, the same information is still in your account.
We send newsletters, our publication and promotions only if you opted in. You can unsubscribe at any time using the link in any of those emails, in your account settings, or by writing to privacy@materiaplus.com. We act on your request within 10 business days.
11.Other companies' services
Some features rely on other companies. Their terms apply to them.
Some features depend on other companies, such as Google sign-in and Square and Stripe payments. Their own terms and privacy policies apply to what they provide. Links to other websites are provided for convenience. We aren't responsible for those sites.
12.Suspending or closing accounts
You can leave at any time. We can suspend accounts that break the rules.
You can close your account at any time in your account settings or by contacting us.
We may suspend or close an account, or remove content, if we reasonably believe that the account holder broke these Terms or the law, put others at risk, or exposed Materia+ to legal liability. Where it's reasonable and safe, we'll tell you why and give you a chance to respond first.
Sections 8, 9 and 13 to 18 continue to apply after an account closes.
13.What we don't promise
We work hard to keep Materia+ running, but we can't promise it will always be perfect.
We provide the Platform "as is" and "as available". We don't promise it will be uninterrupted, error-free or always secure, or that it will meet every need you have.
From time to time we need to take the Platform offline for maintenance or repairs. We'll try to give notice of planned maintenance and schedule it at quiet times. Keep a copy of anything you can't do without, such as the date and time of your next visit.
We review each provider's submitted credentials before their profile goes live, but that review is limited. It isn't a government licence or an endorsement, and we can't guarantee that every credential is accurate or current. Credentials, Titles & Badges explains what the review covers and what profile labels mean. Before you book, make sure a provider is right for you.
Nothing in this section limits the guarantees you have under consumer protection law.
14.Limits on our liability
If something goes wrong, there's a limit on what we owe. Your legal rights as a consumer still apply.
To the extent the law allows:
- we aren't liable for indirect, incidental, special or consequential losses, such as lost profits, lost data, missed appointments or business interruption
- we aren't liable for the care, advice or conduct of any provider, or for products a provider recommends or sells
- our total liability for all claims relating to the Platform is limited to:
- for patients and other users: CA$100
- for providers: the subscription fees you paid Materia+ in the 12 months before the event that led to the claim
Nothing in these Terms excludes or limits liability that the law doesn't allow to be excluded or limited, such as liability for gross negligence or deliberate misconduct, or any right you have under the consumer protection law where you live.
15.Responsibility for misuse
If you misuse Materia+ and someone makes a claim against us because of it, you're responsible.
To the extent the law allows, you agree to cover our reasonable losses and legal costs if a third party makes a claim against Materia+ because you broke these Terms or the law, or because of content you posted. Providers have further responsibilities under the Provider Terms.
16.Governing law and disputes
Ontario law applies. Let's try to solve problems together first.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
If you have a dispute with us, please contact us first and give us 30 days to try to resolve it. Once a formal dispute or legal claim has started, we may ask that communication about it go through our lawyers. Providers have further dispute steps in the Provider Terms.
Any court case about these Terms or the Platform must be brought in the courts of Toronto, Ontario. However, if you are a consumer and the law where you live gives you the right to bring a case in your local courts, or under your local law, you keep that right.
17.Changes to these Terms
We'll tell you before important changes take effect.
We may update these Terms. The current version is always on this page with its effective date. If we make a significant change, we tell account holders by email or on the Platform at least 30 days before it takes effect. If you keep using Materia+ after a change takes effect, the new Terms apply. If you don't agree, you can close your account before then.
18.General
- These Terms and the documents listed in section 1 are the whole agreement between you and us about the Platform.
- If a court finds part of these Terms unenforceable, the rest still applies.
- If we don't enforce one of our rights immediately, we haven't given it up.
- You may not transfer your rights under these Terms. We may transfer ours to a company that takes over the Platform, and we'll tell you if we do.
- [Language clause for Quebec: to be provided by legal.]
